Fred C. Sands

Mr. Sands was the Founder, Chairman and sole shareholder of the second largest real estate and financial services company in California, and the seventh largest in the United States, including wholly owned entities in title insurance, home warranty, mortgage banking, and escrow. The company was staffed with 4,000 people in 65 offices, including franchised operations, and generated $9.4 billion in volume per year. In December, 2000, the company was sold to Coldwell Banker; (the franchised offices were not part of the transaction). Mr. Sands' background also included acquiring and turning around distressed companies, including FM and AM radio stations and two title insurance company, as well as commercial real estate projects. He developed and operated hotels, office buildings, shopping centers, and high-end single family housing projects.


Mr. Sands was honored as the recipient of the American Academy of Achievement Award. Former recipients of this prestigious award include U.S. Presidents, Nobel Laureates, and entertainment industry executives. He was also named one of the "Top 25 CEOs of the Decade" by California Business magazine and named one of the industry's top 13 "Movers and Shakers" (nationwide) by the National Association of Realtors.


Career Highlights

Mr. Sands was the Founder and Chairman of Vintage Real Estate, LLC, a firm specializing in the acquisition and redevelopment of under-performing regional malls and shopping centers. Vintage Real Estate is led by a team of seasoned, hand-picked senior real estate executives with institutional backgrounds.


Mr. Sands was also the Founder and Chairman of Vintage Fund Management, LLC, a private equity fund that was established to expand his diverse non-real estate private investment activities spanning more than two decades. Vintage Fund Management continues to be led by a team of experienced private equity professionals and invests in growing middle market companies. Its investor base includes one of the largest state pension funds, a well-known fund of funds, banks, as well as high net worth family offices. It has outperformed 85% of all private equity funds in the United States.


Mr. Sands personally invested in distressed companies with an eye toward turning them around.

In 2003 Mr. Sands, through his wholly owned entity, Vintage Capital Group, invested growth capital in eScreen, Inc. eScreen, founded in 1998, revolutionized the drug testing industry by developing the only FDA-cleared instant drug test. Today, eScreen is a technology leader, providing the only truly integrated electronic drug testing solution in the industry, and the largest provider of workplace drug programs in the United States. eScreen has been named to Inc. Magazine's 5000 Fastest Growing Companies in America four consecutive years, and in 2011 the Founder and Chairman was recognized by Ernst & Young as a finalist for the National E&Y Entrepreneur of the Year Award.


The growth capital investment provided by Vintage Capital Group helped to fuel the rapid expansion eScreen has achieved since the original Vintage investment in 2003. Several notable milestones since the closing of the investment included the recapitalization in 2008 whereby The Carlyle Group, one of the largest private equity firms in the United States, completed a growth equity investment in eScreen resulting in the return to Vintage of its original debt investment. Vintage Capital Group continued to own a significant minority equity stake in the business, and Mark Sampson, Managing Partner at Vintage, remained a member of eScreen's board of directors. In 2010 eScreen expanded its business through two significant acquisitive growth initiatives; eScreen acquired the Canadian operations of Verfications, expanding the product offering geographically, and completed a merger with Pembrooke which advanced its innovative technology more extensively into the government marketplace.


In April 2012 Vintage was pleased to announce that eScreen was acquired by Alere Inc, a global diagnostic and health management leader at a significant profit.

Personal Activities:

Mr. Sands was appointed by President George W. Bush to the President's Advisory Committee on the Arts and liaison to the Kennedy Center and to the California Arts Council by Governor Arnold Schwarzenegger. In addition, Mr. Sands was the Chairman of The United Way's Million Dollar Roundtable. Active in numerous community activities, Mr. Sands was a founder of the Museum of Contemporary Art and served as President of the Board of Trustees, as well as Co-Chairman of the Investment and Finance Committee until his death. He recently made a significant seven figure donation to the Museum. He also served on the Boards of Chrysalis (a charity that rehabilitates homeless people), as well as the Los Angeles Opera and the Los Angeles Police Foundation.


Fred Sands recently endowed the Fred Sands Institute of Real Estate at Pepperdine University.


In December 2014, Fred Sands endowed the Fred Sands Institute of Real Estate at Pepperdine University. Pepperdine did not previously have a real estate program. It will now offer everything from certificates in real estate to Master's Degrees.


Fred's wife, Dr. Carla Sands will succeed him as Chairman and CEO of Vintage Capital Group. She was mentored by Fred over the many years of their partnership and is extremely active in the business. Carla brings a broad range of experience and interests to her position as Chairman. She shared her husband's deep interest in real estate and architecture as demonstrated by her seat on the Board of Visitors of the UCLA School of Arts and Architecture. Carla Sands was appointed by Governor Schwarzenegger to the Board of The California Cultural and Historic Endowment. Additionally, she has served on numerous Boards including The Los Angeles Philharmonic, The Los Angeles Music Center, The Council of the Library Foundation of the Los Angeles Library and is the Chairman of the Board of The Blue Ribbon and serves on its Executive Committee. The Sands were honored in 2010 at LA Alive, which is sponsored by the Music Center, for their service to the Arts in Los Angeles.


Carla Sands
Chairman

Carla Sands is Chairman of Vintage Fund Management, LLC, a private investment fund comprised of large institutional investors as well as high net worth individuals, partners with experienced builders of established lower middle market businesses through structured growth equity investments.

Carla brings a broad range of experience and interests to her position as Chairman. She shared her husbandís deep interest in real estate and architecture as demonstrated by her seat on the Board of Visitors of the UCLA School of Arts and Architecture.

In addition to real estate, Carla also has a passion for the Arts and is dedicated to making the Arts accessible to all. Governor Arnold Schwarzenegger appointed Carla to the Board of the California Cultural and Historical Endowment, which disburses monies from Proposition 40 to support cultural treasures, historical buildings, museums and learning centers in California.

Carla is also the Chairman of The Blue Ribbon, an organization of five hundred women that supports the Los Angeles Music Center, its resident companies and produces the Children's Festival each spring. She was an eight year member of the Board of the Los Angeles Philharmonic Association, which oversees Walt Disney Concert Hall and the Hollywood Bowl, and served as a member of the Los Angeles Music Center Board from 2012 to 2015.

Carla has chaired and co-chaired events and galas to benefit the Los Angeles Philharmonic, the Kennedy Center, Los Angeles Police Foundation and many other philanthropic organizations raising millions of dollars to benefit the greater Los Angeles and California community. In 2010, Carla and Fred were the Honorees of Walk on the Wildside/L.A. Alive! for their contributions to the arts of Los Angeles and the Music Center.

Mark A. Sampson
Managing Partner

Mark Sampson is the co-founder and Managing Partner of Vintage Fund Management, LLC.  At Vintage, Mr. Sampson has been responsible for the development and establishment of the principal investment activities of the firm, including the strategic planning and the day to day management of all the private equity funds, and is a member of the investment committee. Mr. Sampson serves on the board of directors of eScreen, ATS Systems, Avioserv, CMI Holdings, is Chairman and former interim CEO of PCA Aerospace, and is a board observer of PlayNetworks. Mr. Sampson also leads the business review operating committee on behalf of Vintage for Lubricating Specialties Company. Prior to forming Vintage Fund Management, Mr. Sampson led all aspects of the principal investment activities of Vintage Capital Group, completing the investment in eScreen Holdings, Inc. and the sale leaseback financing for Lubricating Specialties Company.

Prior to co-founding Vintage Fund Management, Mr. Sampson joined Vintage Capital Group to establish the investment strategy and principal investment activities of the firm. Prior to Vintage, Mr. Sampson held senior level positions with several private equity firms with broad based senior level experience including fund formation, fund raising, leading business origination and investment analysis and due diligence. Mr. Sampson began his career in leveraged lending in 1987, culminating in his promotion in 1997 to manage the west coast credit product portfolio as a Vice President in the Corporate Investment Banking Department of Credit Suisse First Boston. Mr. Sampson was also a member of the Health Care Industry Group at CSFB.

Mr. Sampson received a full scholarship and graduated with a Bachelor of Arts from the University of California, Berkeley and received his Master in Business Administration from the Pepperdine University Graziadio School of Business and Management. Over the past 25 years, Mr. Sampson has been a frequent guest speaker, including at the ACG M&A Conference and Private Equity Roundtable, Fulcrum Institute, Financial Executive Forum, Atlantic Mezzanine Conference, as well as a guest lecturer for the UCLA Anderson School of Management, Pepperdine University and The Harvard Business School. Mr. Sampson has also been recognized in the past as Honorary Chairman for the Los Angeles Chapter for the City of Hope, and nominated in the Los Angeles Business Journal Who’s Who in Banking and Finance. Mr. Sampson is a former member of the San Diego Padres professional baseball organization. 

Thomas G. Webster
Principal

As Vice President of Vintage Fund Management, Mr. Webster has over ten years of experience in the middle market including transaction advisory work, principal investing, and operating expertise. Prior to joining Vintage Mr. Webster was Director of Planning and Assistant to the President of Eldorado Stone, a leading manufacturer of architectural stone veneer. Mr. Webster provided support in all functional groups including finance, sales/marketing, manufacturing and administration. During his tenure at Eldorado, Mr. Webster coordinated and provided leadership in the completion of several acquisitions as well post acquisition integration. Prior to Eldorado Stone, Mr. Webster was a Senior Analyst at Graham Partners, a leading private investment fund headquartered in Pennsylvania. While at Graham, Mr. Webster participated in all aspects of the investment process including business and financial due diligence, transaction structuring and complex financial modeling. Mr. Webster began his career as a Senior Consultant in the Transaction Advisory Group of Arthur Andersen performing analytics and transaction due diligence for both financial and strategic buyers.

Mr. Webster graduated with a Bachelor of Arts from Northwestern University. He is a member of the San Diego Chapter of the Association for Corporate Growth.
